Companies Act, 2013

The Companies Act, 2013 governs the incorporation, governance, dissolution and conduct of every company in India — from a small private company to a publicly listed one. It is supplemented by detailed rules notified by the Ministry of Corporate Affairs (MCA).

Board & General Meetings

Every company must hold at least four board meetings each calendar year (with not more than 120 days between two meetings) and an Annual General Meeting within six months of the financial year end. Minutes, attendance registers and notices must be maintained in the prescribed form.

Annual Filings (Forms AOC-4 & MGT-7)

Financial statements (AOC-4) must be filed within 30 days of the AGM and the Annual Return (MGT-7 / MGT-7A) within 60 days. Non-filing attracts daily penalties on the company and every officer in default under Sections 92 and 137.

Director KYC (DIR-3 KYC)

Every individual holding a DIN as on 31 March must complete DIR-3 KYC by 30 September each year. Failure deactivates the DIN and attracts a ₹5,000 reactivation fee.

DPT-3, MSME-1 & BEN-2

Companies must report outstanding loans/deposits in DPT-3, dues to MSMEs in MSME-1 (half-yearly) and significant beneficial ownership in BEN-2 within 30 days of receiving Form BEN-1.

Secretarial Audit (Section 204)

Listed companies and prescribed public companies must obtain an annual Secretarial Audit Report in Form MR-3 from a practising Company Secretary, certifying compliance with applicable laws.

CSR Compliance (Section 135)

Companies meeting the prescribed turnover / net-worth / profit thresholds must spend at least 2% of average net profits on CSR activities and file Form CSR-2 with their Annual Return.
